PlugMart Partner Vendor Agreement
Effective Date: 20 May 2025
Parties:
This Agreement is made between:
PlugMart (Pty) Ltd (“PlugMart”, “We”, “Our”, “Us”), a company registered in South Africa,
and
You, the registered vendor (“Vendor”, “You”, “Your”), who uses the PlugMart platform to list, sell, and/or fulfill orders.
By registering as a vendor on www.plugmart.co.za, you agree to the terms and conditions outlined below.
1. Scope of Agreement
This agreement governs the rights and obligations of PlugMart and the Vendor regarding:
- Product listings
- Sales and fulfillment
- Customer service
- Commission and payment terms
- Compliance with applicable laws
2. Vendor Responsibilities
2.1 Product Listings
- Vendors must provide accurate, clear, and complete information for each product listed.
- All product images, descriptions, pricing, and inventory levels must be kept up to date.
- You must not list prohibited or counterfeit items.
2.2 Fulfillment and Delivery
- Vendors are responsible for timely fulfillment of their own orders.
- Delivery must be made within the timeframe promised to the customer (usually within 2–5 working days, unless otherwise stated).
- Tracking details must be provided once the order is dispatched.
2.3 Customer Service
- Vendors are expected to respond to customer queries or complaints within 24–48 hours.
Returns and refunds must be handled in accordance with PlugMart’s Returns Policy and the Consumer Protection Act of South Africa
3. PlugMart Responsibilities
- Provide a secure online platform for vendors to list and manage products.
- Process payments from customers and disburse vendor earnings (after deducting applicable fees).
- Market the PlugMart platform to attract customer traffic and increase visibility.
Offer dispute resolution between vendors and customers, where needed
4. Commission & Fees
4.1 Commission
- PlugMart will deduct a commission fee from each successful sale.
- Commission rates vary by product category and are communicated during onboarding or via vendor portal updates.
4.2 Payouts
- Payments to vendors will be made weekly (or as agreed), subject to completed orders and return periods.
Payouts will be made to the vendor’s nominated South African bank account
5. Returns, Cancellations & Refunds
- Vendors must honor returns and exchanges according to South African ecommerce law.
- If a return is due to vendor fault (e.g., incorrect item, defective product), the vendor bears the return shipping cost.
If the vendor fails to fulfill an order, PlugMart reserves the right to cancel it and deduct costs or penalties accordingly
6. Intellectual Property
- Vendors retain ownership of their product content but grant PlugMart a non-exclusive, royalty-free license to use, display, and promote their listings on the platform.
- Vendors are responsible for ensuring that product listings do not infringe on third-party rights.
7. Prohibited Conduct
Vendors must not:
- Sell counterfeit or illegal items
- Manipulate reviews or ratings
- Misrepresent product availability
- Violate South African laws or PlugMart policies
8. Suspension & Termination
PlugMart may suspend or terminate vendor access to the platform for:
- Breach of this agreement
- Repeated customer complaints
- Fraudulent or unethical conduct
- Violation of South African law
Vendors may terminate their participation by providing 14 days written notice, but must fulfill all outstanding orders.
9. Limitation of Liability
PlugMart is not liable for:
- Loss of profits
- Vendor inventory or shipping issues
- Indirect or consequential damages
PlugMart’s total liability is limited to the total commissions received from the vendor in the preceding 3 months.
10. Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts
11. Amendments
PlugMart reserves the right to amend this agreement. Vendors will be notified of changes via email or vendor dashboard. Continued use of the platform constitutes acceptance of revised terms.
